VDropify Merchant Agreement

This Merchant Agreement ("Agreement") governs participation in merchant services offered through VDropify, a platform operated by Vetro Tech ("VDropify," "we," "us," or "our"). By creating a merchant account, connecting a store, accepting payments, or participating in VDropify Merchant of Record services, you ("Merchant," "you," or "your") agree to be bound by this Agreement.
This Agreement supplements and forms part of the VDropify Terms of Service, Privacy Policy, Refund Policy, and Acceptable Use Policy.
1. Merchant Responsibilities
You are solely responsible for:
- The products and services sold through your store.
- Accuracy of listings, pricing, and marketing claims.
- Customer service, dispute handling, and complaint resolution.
- Order fulfillment, shipping, and tracking.
- Reviewing AI-generated content before publishing or selling it.
- Compliance with consumer protection, sanctions, tax, and other applicable laws.
- Ensuring you have all required permissions for content, brands, and product imagery.
2. KYC and Identity Verification
To enable Merchant of Record, payouts, or other regulated features, you must complete KYC verification, which may include:
- Government-issued photo identification.
- Selfie or liveness verification.
- Bank statements or proof of address.
- Business registration documents where applicable.
VDropify or its verification partners review submissions. Failed, incomplete, or suspicious verifications may result in account restrictions, payout holds, or termination. Verification documents are stored securely and used only for compliance, fraud prevention, and legal purposes.
3. Merchant of Record (MoR) Services
Where you enable MoR on your store, VDropify acts as the seller of record and may:
- Collect customer payments on your behalf.
- Hold and settle funds through the VDropify wallet.
- Calculate and remit applicable taxes where required.
- Delay, freeze, suspend, or reverse payouts.
- Issue refunds, partial refunds, or chargeback responses without prior merchant approval where required by law, card-network rules, or this Agreement.
- Recover refunds, chargebacks, fees, fines, and reversals from your wallet, future sales, or other amounts owed.
- Suspend, restrict, or terminate MoR access at any time.
You authorize VDropify to take the actions above as part of operating MoR services.
4. Wallet System
VDropify maintains a wallet ledger for each MoR-enabled store, including:
- Pending balance — funds from completed sales still within the hold period.
- Available balance — funds released and eligible for payout.
- Paid out balance — funds previously disbursed.
- Negative balance — amounts owed to VDropify after refunds, chargebacks, fees, or adjustments.
VDropify may make balance adjustments to correct errors, reverse refunded transactions, recover chargebacks, deduct fees, or address fraud, abuse, or policy violations. You remain liable for any negative balance.
5. Payouts
Payouts are subject to:
- Successful KYC verification.
- Manual payout approval by VDropify.
- Risk review and fraud investigation.
- Standard payout hold periods.
- Minimum payout thresholds.
- Available balance and absence of negative balance.
VDropify may delay, hold, reduce, or deny payouts where risk indicators, customer disputes, regulatory obligations, or policy violations require it.
6. Delivery Confirmation
Customers may confirm receipt of an order, and orders may be marked delivered automatically based on carrier tracking or elapsed time. Delivery confirmation may affect refund eligibility but does not guarantee release of held funds, which remain subject to the standard payout hold and risk review.
7. Refunds, Chargebacks, and Disputes
Refunds may be initiated by the customer, merchant, or VDropify. For MoR transactions, VDropify may independently approve, partially approve, or reject refund requests in line with the Refund Policy. You authorize VDropify to debit your wallet for refunded amounts, chargeback amounts, associated fees, and related costs and to recover negative balances from future sales.
8. Custom Domains
You may connect a custom domain to your store. You must own or be authorized to use the domain. VDropify may disconnect or suspend a domain that infringes third-party rights, is used for phishing or impersonation, or otherwise violates this Agreement.
9. Dropshipping and Third-Party Suppliers
VDropify integrates with third-party suppliers and fulfillment providers (such as CJ Dropshipping, Printify, and Zendrop). Supplier pricing, availability, inventory, and shipping times are controlled by those suppliers. Inventory synchronization is provided on a best-effort basis and may not reflect real-time supplier stock. You remain responsible for order fulfillment, shipment, and customer communications regardless of supplier.
10. AI Features
You may use VDropify AI tools to generate stores, product content, images, and marketing materials. AI outputs may be inaccurate, incomplete, infringing, or unsuitable. You are solely responsible for reviewing and validating AI outputs before use. VDropify does not guarantee the accuracy, legality, or suitability of AI-generated content.
11. Prohibited Activities
You may not list or sell items, or engage in conduct, prohibited by the Acceptable Use Policy. VDropify may remove listings, suspend stores, freeze balances, or terminate accounts for violations.
12. Enforcement, Suspension, and Termination
VDropify may suspend, restrict, freeze balances on, or terminate merchant accounts, stores, or features for reasons including but not limited to:
- Excessive refunds or refund abuse.
- Excessive chargebacks or card-network disputes.
- Failure to fulfill orders or ship within reasonable timeframes.
- Repeated or serious customer complaints.
- Failed or refused KYC verification.
- Listing or selling prohibited products.
- Fraud, deception, money-laundering, or sanctions indicators.
- Violation of this Agreement, the Terms of Service, or any linked policy.
- Legal, financial, or reputational risk to VDropify or its partners.
On suspension or termination, VDropify may hold funds during investigation, reverse transactions, and take other actions reasonably necessary to protect customers, partners, and the platform.
13. Fees
Subscription fees, MoR platform fees, payment processing fees, payout fees, and other applicable fees are disclosed in your dashboard or pricing page and may be updated from time to time. Fees are deducted from your wallet or charged through your selected billing method.
14. Taxes
You are responsible for all taxes related to your business activity except where VDropify is required to collect and remit them as Merchant of Record. You are responsible for providing accurate tax information and for any tax filings related to your activities outside MoR-handled transactions.
15. Indemnification
You agree to indemnify and hold harmless VDropify, Vetro Tech, its officers, employees, contractors, and affiliates from any claims, losses, damages, liabilities, costs, and expenses arising from your products, your customers, your use of the Services, your violation of this Agreement, or your violation of applicable laws.
16. Disclaimer and Limitation of Liability
The Services are provided "as is" and "as available." To the maximum extent permitted by law, VDropify is not liable for indirect, incidental, consequential, special, or punitive damages, including lost sales, lost profits, or supplier or carrier failures. VDropify's total liability shall not exceed the amount paid by the merchant to VDropify during the twelve (12) months preceding the claim.
17. Changes to This Agreement
VDropify may update this Agreement from time to time. Updated versions will be posted on the website and become effective upon publication unless otherwise stated. Continued use of merchant services constitutes acceptance of the revised Agreement.
18. Governing Law
This Agreement is governed by the laws of Trinidad and Tobago, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved in accordance with applicable laws of Trinidad and Tobago.
