VDropify Merchant Agreement

This Merchant Agreement ("Agreement") governs participation in merchant services offered through VDropify, a platform operated by Vetro Tech ("VDropify," "we," "us," or "our").
By creating a merchant account, connecting a store, accepting payments, or participating in VDropify Merchant of Record services, you ("Merchant," "you," or "your") agree to be bound by this Agreement.
This Agreement supplements and forms part of the VDropify Terms of Service.
1. Merchant Eligibility
To use VDropify merchant services, you must:
- Be at least 18 years old.
- Have authority to operate the business associated with your account.
- Provide accurate business information.
- Maintain updated contact and payout information.
VDropify may request additional verification documents at any time.
2. Merchant Responsibilities
Merchants are solely responsible for:
- Products sold through their stores.
- Product descriptions and claims.
- Pricing and promotions.
- Customer support.
- Order fulfillment.
- Shipping and delivery.
- Compliance with applicable laws.
- Tax obligations associated with their business.
VDropify is not responsible for merchant inventory, product quality, fulfillment performance, or customer service obligations.
3. Merchant of Record Services
Certain merchants may participate in VDropify's Merchant of Record ("MoR") program.
When participating in MoR services:
- VDropify may collect payments from customers.
- VDropify may hold, manage, and distribute funds.
- VDropify may process refunds, disputes, and chargebacks.
- VDropify may deduct fees, adjustments, refunds, penalties, and chargebacks before releasing funds.
Participation in the MoR program is a privilege and may be suspended or terminated at VDropify's discretion.
4. Payouts
VDropify may release merchant funds according to internal payout schedules.
Payouts may be:
- Delayed
- Paused
- Reduced
- Held
for risk management, compliance, fraud prevention, disputes, refunds, chargebacks, or operational reasons.
VDropify does not guarantee payout timelines.
5. Payout Holds
VDropify may place holds on merchant balances for reasons including:
- New merchant accounts
- High-risk products
- Excessive refund requests
- Customer complaints
- Chargebacks
- Fraud investigations
- Suspicious account activity
Funds may remain unavailable until VDropify determines the associated risk has been resolved.
6. Negative Balances
If refunds, chargebacks, fees, or penalties exceed available merchant balances:
- The merchant account may enter a negative balance.
- Future earnings may be used to offset the balance.
- VDropify may withhold future payouts.
- VDropify may seek recovery of outstanding amounts.
Merchants remain responsible for all negative balances.
7. Refunds
Merchants are responsible for honoring their stated refund policies.
For Merchant of Record transactions, VDropify reserves the right to:
- Approve refunds
- Deny refunds
- Issue partial refunds
- Issue full refunds
when necessary to protect customers, comply with payment provider requirements, or resolve disputes.
Refunds may be deducted from merchant balances.
8. Chargebacks and Payment Disputes
Merchants are responsible for chargebacks and payment disputes arising from:
- Non-delivery
- Misrepresentation
- Defective products
- Fraudulent activity
- Failure to provide customer support
VDropify may recover chargeback amounts, fees, and related costs from merchant balances.
9. Prohibited Products and Services
Merchants may not sell, promote, distribute, or facilitate:
- Illegal products
- Counterfeit products
- Copyright-infringing goods
- Stolen property
- Weapons and ammunition
- Tobacco products
- Vape products
- Recreational drugs
- Unauthorized prescription medications
- Adult content or adult products
- Gambling services
- Pyramid schemes
- Fraudulent financial products
- Any product prohibited by payment processors or applicable law
VDropify may remove products or suspend accounts without notice.
10. Fraud Prevention
VDropify may monitor merchant activity for fraud, abuse, and policy violations.
VDropify may:
- Request documentation
- Delay payouts
- Freeze funds
- Suspend stores
- Restrict account access
- Terminate merchant participation
if suspicious activity is detected.
11. Verification Requirements
VDropify may require:
- Government-issued identification
- Business registration documents
- Proof of address
- Bank account verification
- Tax information
Failure to provide requested information may result in suspension or termination.
12. Customer Complaints
Merchants are expected to respond promptly to customer inquiries and complaints.
Repeated unresolved complaints may result in:
- Payout delays
- Increased reserve requirements
- Account suspension
- Account termination
13. Store Content
Merchants retain ownership of their store content but are responsible for ensuring all content:
- Is lawful
- Is accurate
- Does not infringe intellectual property rights
- Does not violate platform policies
VDropify may remove content that violates this Agreement.
14. Taxes
Merchants are solely responsible for:
- Determining tax obligations
- Collecting taxes where required
- Filing tax returns
- Paying taxes owed
VDropify does not provide tax advice.
15. Limitation of Liability
VDropify shall not be liable for:
- Lost profits
- Lost sales
- Business interruption
- Payment processor actions
- Shipping delays
- Customer disputes
- Merchant errors
To the maximum extent permitted by law, VDropify's liability shall not exceed amounts paid to VDropify by the merchant during the twelve (12) months preceding the claim.
16. Termination
VDropify may suspend or terminate merchant accounts at any time if:
- Policies are violated
- Fraud is suspected
- Excessive chargebacks occur
- Prohibited products are sold
- Required verification is not completed
Upon termination, VDropify may continue to hold funds for a reasonable period to address refunds, disputes, chargebacks, and other obligations.
17. Governing Law
This Agreement shall be governed by the laws of Trinidad and Tobago.
Any disputes arising under this Agreement shall be resolved in accordance with applicable laws of Trinidad and Tobago.
