VDropify Terms of Service

Welcome to VDropify. These Terms of Service ("Terms") govern your access to and use of the VDropify platform, website, applications, and related services (collectively, the "Services"), operated by Vetro Tech ("VDropify," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services. By creating an account, you represent and warrant that all information you provide is accurate, complete, and current.

VDropify reserves the right to add, modify, suspend, or discontinue any feature of the Services at any time.

4. Subscription Plans and Billing

Access to certain features requires a paid subscription. By purchasing a subscription:

You may cancel your subscription at any time through your account dashboard. Cancellation prevents future renewals but does not automatically entitle you to a refund. See the Refund Policy for full details.

5. Refunds

New subscription purchases may be eligible for a refund within seven (7) calendar days of the original purchase date. Refund eligibility applies only to the first subscription purchase and does not apply to renewals. Refunds on customer orders processed under the Merchant of Record program are governed by Sections 7 and 8 below and the Refund Policy.

6. Merchant Responsibilities

Merchants using VDropify are solely responsible for:

7. Merchant of Record (MoR) Services

Where a merchant enables Merchant of Record on their store, VDropify (through Vetro Tech or an affiliated processing entity) may act as the seller of record for the transaction. In that capacity, VDropify may:

8. KYC and Identity Verification

To enable MoR, request payouts, or access certain features, merchants must complete Know Your Customer ("KYC") verification. This may include:

Submissions are reviewed by VDropify or a designated verification provider. VDropify may restrict account access, withhold payouts, or terminate accounts that cannot be verified or that fail verification reviews. Verification documents are stored securely and used only for compliance, fraud prevention, and legal purposes as described in the Privacy Policy.

9. Wallet and Payouts

For MoR-enabled merchants, VDropify maintains a wallet ledger that may include:

Payouts are issued only after manual approval by VDropify and successful risk review. VDropify may apply payout holds, minimum payout thresholds, fraud investigations, or delayed disbursement at its discretion. Merchants are responsible for negative balances and authorize VDropify to recover them from future sales or other amounts owed.

10. Delivery Confirmation

Customers may confirm receipt of an order, and orders may be marked as delivered automatically based on carrier tracking or elapsed time. Delivery confirmation may affect refund eligibility but does not by itself guarantee release of held funds, which remain subject to the standard payout hold and risk review.

Refunds may be initiated by the customer, the merchant, or VDropify. For MoR transactions:

VDropify offers AI-powered tools to generate stores, product descriptions, images, and other content. AI output may be inaccurate, incomplete, infringing, or otherwise unsuitable. Merchants are solely responsible for reviewing, editing, and verifying AI-generated content before publication or sale. VDropify makes no warranty regarding the accuracy, legality, or suitability of AI outputs.

13. Custom Domains

Merchants may connect custom domains to their VDropify stores. You must own or be authorized to use any domain you connect. VDropify may suspend or disconnect a domain that infringes third-party rights, is used for phishing, impersonation, or other misuse, or that violates this Agreement.

14. Dropshipping and Third-Party Suppliers

VDropify integrates with third-party suppliers and fulfillment providers (such as CJ Dropshipping, Printify, and Zendrop). Supplier availability, pricing, inventory, and shipping times are controlled by those suppliers and may change without notice. Inventory synchronization is provided on a best-effort basis and may not reflect real-time supplier stock. Merchants remain responsible for order fulfillment, shipment, and customer communications regardless of supplier.

15. Prohibited Activities

You may not use the Services to sell, promote, distribute, or facilitate any item or activity listed in our Acceptable Use Policy, including but not limited to illegal goods, counterfeit goods, weapons, regulated substances, adult content, gambling, or fraudulent schemes.

16. User Content

You retain ownership of content you upload (product listings, images, branding, marketing materials). By uploading content, you grant VDropify a worldwide, non-exclusive license to host, store, display, and process such content solely for operating and improving the Services. You represent that you have the necessary rights to all submitted content.

17. Intellectual Property

The Services, software, trademarks, logos, designs, and content provided by VDropify are owned by Vetro Tech and protected by applicable intellectual property laws. You may not copy, distribute, modify, reverse engineer, or create derivative works from the Services without written permission.

18. Payment Providers

VDropify integrates with third-party payment providers including PayPal, Stripe, WiPay, and others. VDropify is not responsible for payment processor outages, delayed settlements, account freezes by third-party providers, or payment processor disputes. Your use of third-party services is subject to their own terms and policies.

19. Suspension and Termination

VDropify may suspend, restrict, or terminate accounts, stores, or features at any time if:

The Services are provided "as is" and "as available." VDropify makes no warranties regarding:

To the maximum extent permitted by law, VDropify, Vetro Tech, its directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use of the Services. VDropify's total liability shall not exceed the amount paid by the user to VDropify during the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless VDropify, Vetro Tech, its officers, employees, contractors, and affiliates from any claims, losses, damages, liabilities, costs, and expenses arising from your use of the Services, your products, your customers, your violation of these Terms, or your violation of applicable laws.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Trinidad and Tobago, without regard to conflict of law principles.

24. Changes to These Terms

VDropify may update these Terms from time to time. Updated versions will be posted on the website and become effective upon publication unless otherwise stated. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
